Terms of service
These Terms govern access to the Virtuosis services identified at sign-up, checkout or in an order form (the “Order”, which includes any separate written agreement between Virtuosis and Customer that incorporates these Terms). By accepting an Order or using a Service, the customer or individual user (“Customer”) agrees to these Terms. The contracting entity is exactly the independent Virtuosis company identified in the Order: Virtuosis Artificial Intelligence SA or its affiliates, including but not limited to Virtuosis Health SAS (“Virtuosis”). Consumer Orders are concluded with Virtuosis Artificial Intelligence SA.
1. Service and permitted use
The “Services” are the applications, APIs, integrations, dashboards, analyses, documentation and support in the Order. During the agreed term, Virtuosis grants Customer a limited, non-exclusive, non-transferable right to use them: for personal use by a consumer, or for the organization’s internal purposes and authorized users stated in the Order. Trials may be limited, changed or ended at any time and are provided without service commitments to the extent permitted by law.
Customer must provide accurate information, protect credentials, and use the Services lawfully. Customer must not reverse engineer, copy, resell or sublicense the Services; bypass security or usage limits; introduce malware; infringe rights; use the Services to infer emotions of individuals in a workplace or educational setting, except where permitted for medical or safety reasons; or use outputs as the sole basis for an emergency, diagnosis, treatment, employment, insurance or other decision with legal or similarly significant effects.
2. Medical and wellbeing features
A “Medical Feature” is functionality that the applicable product documentation identifies as a medical device. It may be offered only in territories where the legal manufacturer may lawfully make it available, and must be used only for the documented intended purpose, users, population, instructions and warnings. The documentation identifies the manufacturer, applicable Class status, and any authorized representative. It prevails for regulatory and safety matters.
A “Wellbeing Feature” is non-medical and is not intended to diagnose, prevent, monitor, predict, prognose or treat disease. Availability does not mean medical authorization. Outputs may be shown to the individual or an authorized professional, depending on the product. All outputs are probabilistic and may be incomplete or wrong; urgent or clinical concerns require an appropriate professional or emergency service.
3. Eligibility and customer content
An individual below the legal age of majority may use a Service only through or with a parent or legal representative, and only where the Service is intended for minors. The representative accepts these Terms and supervises use. For organizational or study use, Customer is responsible for lawful instructions, notices, consents, professional oversight and required clinical, employment, research or ethics approvals.
Customer retains rights in data, audio, files and other content it submits (“Content”) and grants Virtuosis the limited right to process it to provide, secure and support the Services, comply with law and follow the Privacy Policy and DPA. Customer confirms it has the rights and permissions needed for the Content. Virtuosis will not use identifiable Customer Service data to train models without written authorization and a lawful basis.
4. Data, confidentiality and security
The Privacy Policy explains controller processing. The DPA applies when Virtuosis processes personal data for an organizational Customer. Each party must protect the other’s non-public information and use it only for the agreement, except where disclosure is authorized or legally required. Virtuosis uses proportionate security measures. Where French HDS rules apply, relevant data is hosted on Azure services within the scope of Microsoft’s HDS certification, subject to the Order and DPA.
5. Ownership and feedback
Virtuosis and its licensors own the Services, software, models, documentation and related intellectual property. No right is granted except the limited use right above. As between the parties, Customer retains all rights it lawfully holds in its Content and may use outputs, subject to third-party rights and applicable law. Feedback may be used without restriction or payment if it does not identify Customer or disclose confidential information.
6. Orders, fees and consumer rights
The Order shows the price, taxes, payment timing, duration, whether the purchase is a subscription or one-off analysis, any renewal, and the contracting entity before payment. Business invoices are due within 30 days unless the Order states otherwise. For Orders with Virtuosis Health SAS, late payment bears interest at the European Central Bank’s most recent refinancing rate plus 10 percentage points and a fixed recovery indemnity of EUR 40. Virtuosis may retry a failed payment and, after notice, suspend unpaid access. Business fees are non-cancellable and non-refundable except as stated in the agreement or required by law.
Consumers retain all mandatory rights, including legal conformity guarantees. Subscription renewal and cancellation follow the disclosures at checkout; cancellation is available by an online or equally easy method where law requires. A price change applies no earlier than renewal after at least 30 days’ notice, with a right to cancel.
EU/EEA consumers may withdraw from a distance contract within 14 days of conclusion by an unambiguous statement, including by email to info@virtuosis.ai. If a consumer expressly requests a service to start during that period, the consumer owes the proportionate price supplied before withdrawal. The right is lost only after full performance with prior express consent and acknowledgment. For digital content, it is lost once supply starts only with prior express consent and acknowledgment. Marketplace purchases may also be governed by the marketplace’s checkout and refund rules, without reducing mandatory rights.
7. Availability, warranties and third parties
Virtuosis will provide the Services with reasonable care and skill and may change them for security, law, product improvement or end-of-life needs. Material reductions during a paid term will be notified and, if not cured, Customer may terminate the affected Service and receive a pro-rata refund. Third-party services have their own terms. Except for express commitments and mandatory consumer guarantees, the Services and outputs are provided “as is” and uninterrupted or error-free operation is not promised.
8. Term, suspension and termination
These Terms apply for the Order’s term. Either party may terminate for an uncured material breach after reasonable written notice, or immediately where cure is impossible, law requires, or continued use creates a material security or safety risk. Customer may cancel as stated in the Order and mandatory consumer law. On termination, access ends except for data export; Customer must export data within the agreed period, normally 30 days, after which it is deleted subject to law and backup cycles. Where Chapter VI of the EU Data Act applies, Virtuosis will support switching and export as that Chapter requires, including a notice period of up to two months, a transitional period of up to 30 days and a data-retrieval period of at least 30 days. Clauses intended to survive do so.
9. Liability
Nothing excludes liability that cannot lawfully be excluded, including mandatory consumer rights, death or personal injury caused by negligence, fraud, wilful misconduct, mandatory product liability, or statutory data-protection remedies.
For business Customers only, neither party is liable for indirect or consequential loss, lost profit, revenue, goodwill or anticipated savings. For business Customers, each party’s total liability arising from an Order is limited to fees paid or payable under that Order in the 12 months before the event, except that liability for confidentiality, data-protection or intellectual-property breach is limited to twice that amount, in each case unless the Order states a different limit. These limits do not apply where prohibited by law, or to Customer’s payment obligations or its indemnity below. A business Customer will defend and indemnify Virtuosis against third-party claims caused by unlawful Content or use, except to the extent caused by Virtuosis.
10. Changes, evidence and general terms
The version accepted with an Order governs that Order. Online updates apply to a renewal or new Order, or earlier only if required by law or security or expressly accepted; material changes will be notified. The Order prevails over these Terms for commercial details, the DPA for processor data, and product documentation for regulatory and safety matters. Electronic acceptance, account, checkout and service records are admissible evidence, subject to mandatory law.
Neither party may assign the agreement without consent, not to be unreasonably withheld, except to a successor to substantially all relevant business that assumes it; required consumer notice or consent still applies. If a clause is invalid, the rest remains effective. Delay is not waiver. Neither party is liable for events beyond reasonable control, but payment duties for Services already supplied remain. Notices may be sent electronically; contract and support contact: info@virtuosis.ai.
11. Law, disputes and entities
For a business Customer, an Order with Virtuosis Artificial Intelligence SA is governed by Swiss law and the courts of Lausanne have exclusive jurisdiction; an Order with Virtuosis Health SAS is governed by French law and the courts competent for its registered office have exclusive jurisdiction. For a consumer, these choices do not remove mandatory protections or the right to bring proceedings in courts available under the law of the consumer’s habitual residence. The UN Convention on Contracts for the International Sale of Goods does not apply.
